Terms & Conditions

A. Introduction

ProPath provides tools for individual development plans ("IDPs"), weekly check-ins, structured training assignments, match/video review, and — for ProPath Teams — a coach-managed, parent-supervised team development environment.

These Terms, together with the Privacy Policy, the Parental Consent & Minor Privacy Notice, and (for coach users) the Coach Terms & Acceptable Use Policy, form the complete agreement governing use of ProPath. Where a conflict exists between these documents and a specific product's own posted terms, the more specific document controls for that product.

B. Eligibility

Adult account requirements: A person creating an account as a parent, guardian, coach, or an adult athlete must be at least 18 years old and capable of forming a binding contract.

Parent/guardian requirements: A parent or legal guardian creating or managing a minor player's linked profile represents that they are the player's parent or legal guardian, or otherwise hold legal authority to make decisions of this kind on the player's behalf.

Minor linked profiles: A player under 18 does not independently hold a ProPath account in the way an adult user does — see Section D.

Coach account requirements: A coach account requires confirmation of the statements described in Section F and in the Coach Terms & Acceptable Use Policy, including that the coach is at least 18 and is authorized by their team, club, or organization to access the players assigned to their account.

C. Parent Authority

A parent or guardian who creates or manages a minor player's linked profile represents and warrants that they have the legal authority to do so and to provide the permissions described in the Parental Consent & Minor Privacy Notice.

[ATTORNEY REVIEW REQUIRED]: custody and guardianship edge cases (e.g., disputes between parents, a non-custodial parent attempting to create or access a profile, a guardian ad litem, foster placements) are not resolved by these Terms and are flagged here for counsel's review of an appropriate verification and dispute process.

D. Minor Accounts

Where a player is under 18, ProPath uses a linked-profile model: the parent or guardian is the account owner and responsible party, and the player has a linked profile that they may use to interact with development tools, subject to the parent's account and, where applicable, this Section and the Parental Consent & Minor Privacy Notice.

Except where required or otherwise permitted by law, a minor does not independently enter the primary commercial agreement for a paid ProPath product — the parent or guardian (or, for ProPath Team, the team/club, as described in Section E) does.

E. Team / Club Accounts

A team, club, or academy ("Organization") may use ProPath Teams to manage its coaches' access to players on rosters the Organization administers. An Organization is responsible for its own internal roster and coach-authorization decisions, subject to ProPath's own account controls described elsewhere in these Terms.

Depending on the commercial arrangement, a team or club subscription may be paid by the Organization, or individual players/parents may pay directly — see Section S.

F. Coach Users

A coach account is granted access only to players the coach is authorized to access through a direct assignment or Team membership, as determined by the Organization and reflected in ProPath's access controls.

A coach agrees to use player information solely for legitimate player-development purposes, and acknowledges the restrictions described in Section H and in the Coach Terms & Acceptable Use Policy, which is incorporated into these Terms by reference for coach users.

G. No ProPath Coach Vetting

Unless expressly stated otherwise for a specific program, ProPath does not independently employ, certify, vet, or background-check third-party team coaches merely because they use ProPath Teams. ProPath does not represent or imply that any coach is "ProPath-approved," "ProPath-vetted," or "ProPath-certified safe" unless such a specific program exists and is expressly identified as such.

A coach's team, club, or organization is responsible for determining whether that coach is authorized to coach or access its players, and for any background-check, safeguarding, employment, or volunteer requirements applicable to that organization.

[ATTORNEY REVIEW REQUIRED]: this disclaimer describes ProPath's role as a software provider, but does not by itself resolve ProPath's own potential legal responsibilities (e.g., under state youth-protection statutes, platform-liability doctrines, or specific contractual undertakings). Counsel should review this section together with Section AC (Limitation of Liability) and Section AD (Indemnification).

H. No Direct Coach/Minor Messaging

ProPath Teams does not provide, and does not permit, direct private electronic messaging between a coach and a minor player. This includes private chat, an inbox between coach and player, private coach comments sent directly to a player, voice notes from a coach to a player, coach-generated push notifications framed as messages to a minor, coach-to-player email or SMS, or any private coach/player video or voice call feature.

This is enforced in the product itself, not only as a policy: see the Privacy Policy's "Coach Access" section and the Parental Consent & Minor Privacy Notice for the user-facing description of what a coach can and cannot do.

A coach who attempts to circumvent this restriction, including by requesting a minor player's personal contact information, is in breach of these Terms and the Coach Terms & Acceptable Use Policy, and is subject to suspension or termination under Section Z.

I. Parent Communication

An authorized coach may communicate with the player's registered adult parent or guardian through ProPath's parent-email functionality ("Email Parent"). This is the intended channel for a coach to have a human conversation about a player's development, an IDP, progress, or scheduling a conversation.

Email Parent messages are sent only to a verified parent/guardian account linked to the relevant player, never to the player's own email address, and are logged for safety and audit purposes as described in the Privacy Policy.

J. Player Development Information

ProPath collects and stores player-development information submitted by the player (or, for a younger player, by a parent on their behalf) and by coaches, including weekly check-ins, individual development plans, structured assignments, training records, goals, and progress records. This information is used to operate the development-planning and coaching tools described in these Terms and the Privacy Policy.

K. Not Medical Advice

ProPath is an athlete-development and education platform. It does not diagnose, treat, or provide medical care, and nothing in ProPath, including the weekly check-in's general wellness indicators (energy, mood, physical feeling, confidence), constitutes medical advice, diagnosis, or monitoring.

If you or your child has an urgent health concern, contact a qualified medical professional or emergency services as appropriate — do not rely on ProPath for that purpose.

L. Not Guaranteeing Athletic Results

ProPath does not guarantee, and makes no representation regarding, any particular athletic outcome, including making a team, improving performance, earning playing time, college recruitment, an athletic scholarship, a professional contract, academy placement, selection, scouting interest, or any other sporting outcome.

M. Responsibilities of Users

Users agree to: provide accurate account and profile information; keep their account credentials secure and not share them; use ProPath only for its intended player-development purposes; not impersonate another person; and not attempt to access a player's information without proper authorization.

N. Prohibited Conduct

Without limiting Section H, users may not use ProPath to:

• Harass, exploit, groom, or solicit a minor, or solicit a minor's private contact information
• Attempt to bypass safeguarding controls, including the restrictions in Section H
• Scrape, extract, or export data for unauthorized or unrelated purposes
• Stalk, abuse, or harm another user
• Upload or transmit sexual content, harmful content, or content exploiting a minor
• Impersonate another person or entity
• Commit fraud or engage in unauthorized financial activity
• Interfere with or disrupt ProPath's systems, or introduce malware
• Share account credentials or allow unauthorized account access
• Commercially exploit ProPath data outside these Terms
• Record or distribute content from ProPath without authorization
• Attempt to circumvent platform restrictions, including messaging restrictions

O. Safeguarding Reports

ProPath provides a mechanism to report concerning use or suspected misconduct (see the in-product Safeguarding Report feature). ProPath will review reports and may suspend or terminate access as described in Section Z.

ProPath is not a law-enforcement agency and a report submitted through ProPath is not a substitute for contacting appropriate authorities where a child may be in danger or a crime may have occurred. [ATTORNEY REVIEW REQUIRED]: escalation and mandatory-reporting obligations, if any, applicable to ProPath's own operations should be reviewed by counsel.

P. Content

"User Content" means information, text, images, or other material a user submits to ProPath, including check-in responses, goals, and profile information. Users retain ownership of their User Content.

By submitting User Content, a user grants ProPath a non-exclusive, worldwide, royalty-free license to host, store, process, and display that content solely as necessary to operate and provide the Service. This license does not transfer ownership and is not broader than necessary for that purpose.

Q. ProPath Content

Training content, curriculum, graphics, branding, software, videos, and other material provided by ProPath (as distinct from User Content) belongs to ProPath or its licensors. Users receive a limited, non-transferable license to use this content solely within the Service as intended.

R. Copyright / IP

ProPath respects intellectual property rights and expects users to do the same. A rights holder who believes their content has been used on ProPath without authorization may contact [PRIVACY EMAIL] / [SUPPORT EMAIL] with a description of the claimed infringement.

S. Subscriptions / Payments

ProPath offers different commercial models depending on the product: a team or club may pay for ProPath Team on behalf of its roster, or a parent may pay directly for their child's access (Team activation, Performance, or College). Current pricing is shown on the applicable checkout or order page at the time of purchase — this document does not itself state prices.

Where a subscription includes recurring billing, that billing recurs on the cadence shown at checkout until canceled, consistent with the payment processor's standard subscription mechanics.

T. Cancellation

A subscription may be canceled through the billing management tools available in the product (see the Billing section of the Locker Room or parent portal), which hand off to the payment processor's customer portal for that purpose. Cancellation takes effect according to the payment processor's standard subscription-cancellation mechanics.

U. Refunds

[ATTORNEY/FOUNDER: CONFIRM REFUND POLICY]. Until a specific refund policy is confirmed and published, refund requests are handled on a case-by-case basis by contacting [SUPPORT EMAIL].

V. Trials / Promotions

If ProPath offers a free trial or promotional pricing, the specific terms of that trial or promotion (duration, what happens at its end, and any billing that follows) will be disclosed at the time it is offered and will govern in addition to these Terms.

W. Third-Party Services

ProPath relies on third-party service providers to operate the Service, including payment processing, hosting, authentication, and email delivery. Use of ProPath is also subject to the applicable terms of those providers where you interact with them directly (for example, entering payment details with ProPath's payment processor). See the Privacy Policy's "Information Sharing" section for the categories of providers involved.

X. Availability

ProPath does not guarantee uninterrupted or error-free operation of the Service. Scheduled maintenance, technical issues, or circumstances outside ProPath's control may result in temporary unavailability.

Y. Changes to Service

ProPath may add, modify, or remove features of the Service over time as the product evolves. ProPath will use reasonable efforts to communicate material changes that affect how users interact with the Service.

Z. Suspension / Termination

ProPath may suspend or terminate a user's access, in whole or in part, for a violation of these Terms (including Section H and Section N), a safeguarding concern, misuse, a privacy or security issue, or as otherwise necessary to protect users or the Service. Where reasonably possible and consistent with safety, ProPath will provide notice of the reason for suspension or termination.

AA. Data on Termination

What happens to a user's data upon account termination is governed by the Privacy Policy's Data Retention section, including the purpose-based retention periods described there and any applicable legal, accounting, or fraud-prevention exceptions.

AB. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PROPATH DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. PROPATH DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. [ATTORNEY REVIEW REQUIRED]: this section should be reviewed for enforceability under applicable state law, and is not intended to disclaim liability that cannot be lawfully disclaimed (e.g., for gross negligence, willful misconduct, or statutory consumer-protection rights).

AC. Limitation of Liability

[ATTORNEY REVIEW REQUIRED]. A limitation-of-liability clause is not included here in enforceable form because its scope depends on ProPath's final business structure and the applicable jurisdiction, and because limitations touching minors, gross negligence, intentional misconduct, and non-waivable statutory rights require specific legal drafting. Do not rely on this placeholder as an enforceable limitation until counsel has drafted and approved final language.

AD. Indemnification

[ATTORNEY REVIEW REQUIRED]. An adult user (parent, guardian, coach, or Organization) may be asked to indemnify ProPath for claims arising from their own violation of these Terms or misuse of the Service; final indemnification language should be drafted by counsel. No indemnification obligation is imposed directly on a minor player.

AE. Governing Law

[ATTORNEY REVIEW — GOVERNING LAW / VENUE]. These Terms will be governed by the laws of [STATE OF FORMATION] once confirmed by counsel as the final business decision, without regard to conflict-of-laws principles, subject to any mandatory consumer-protection law of a user's home jurisdiction that cannot be waived.

AF. Dispute Resolution

[ATTORNEY REVIEW REQUIRED]. ProPath has not adopted a mandatory arbitration or class-action-waiver provision as a final production term. If such a provision is adopted in the future, it will be clearly disclosed and reviewed by counsel first — enforceability, applicable consumer-protection rules, and issues specific to minors all require that review before this section is finalized.

AG. Electronic Communications

By using ProPath, a parent or other adult user agrees to receive operational communications related to the Service electronically (for example, account, billing, and safety-related notices). Marketing communications, where offered, require separate consent as described in the Privacy Policy.

AH. Modifications

ProPath may update these Terms from time to time. A material change will be reflected in an updated "Last updated" date and, where appropriate, additional notice. Continued use of the Service after a material change constitutes acceptance of the updated Terms; where re-acceptance is required (for example, a coach or parent whose account gates on the current Terms version), you will be prompted to accept before continuing.

AI. Severability

If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect, and the unenforceable provision will be construed to reflect the parties' original intent as closely as permitted by law.

AJ. Assignment

A user may not assign these Terms without ProPath's prior written consent. ProPath may assign these Terms in connection with a merger, acquisition, or sale of assets.

AK. Entire Agreement

These Terms, together with the Privacy Policy, the Parental Consent & Minor Privacy Notice, and (for coach users) the Coach Terms & Acceptable Use Policy, constitute the entire agreement between the parties regarding use of the Service, and supersede any prior agreements on that subject.

AL. Waiver

ProPath's failure to enforce any provision of these Terms is not a waiver of its right to do so later.
